TERMS OF SERVICE

Thank you for choosing PORTR Co. These Terms of Service ("Terms") govern your use of our website, platform, and services. By submitting our onboarding form, sending us a file, or using any of our services, you agree to these Terms. Please read these terms carefully before using the Services. If you do not agree, please do not use our Services.
PORTR Co provides transaction coordination, conveyancing, administrative and related services to licensed real estate professionals and unrepresented seller’s or FSBO’s in Pennsylvania and New Jersey, and may expand to additional states in the future.
1. Eligibility
You must be at least 18 years of age and a licensed real estate professional in good standing in Pennsylvania and/or New Jersey to use our Services. By using our Services, you represent that you meet these requirements.
2. Our Services
Contract to Close (CTC)
We manage the administrative side of your transactions from contract to closing, organizing paperwork, coordinating with all parties, tracking deadlines, handling compliance submissions, and keeping everything on track so you can focus on your clients. CTC services are available for buy-side, sale-side, dual agent, FSBO, and new construction transactions in PA and NJ.
Conveyancing
For sale-side transactions, we handle the conveyancing process, ordering municipal certificates, tax certs, mortgage payoffs, U&O/L&I/CO inspections, association documents, judgment payoffs, estate/LLC/trust docs, and all related items required to bring a property to closing. Conveyancing is available in Pennsylvania (PA) and New Jersey (NJ).

What We Are Not
PORTR Co provides administrative and coordination services only. We do not provide legal advice, brokerage services, compliance guarantees, negotiation services, or representation in any real estate transaction. All decisions, approvals, disclosures, and legal responsibilities remain with you and/or your brokerage.
PORTR Co team members operate as unlicensed or licensed administrative coordinators in accordance with Pennsylvania Real Estate Commission guidelines and New Jersey Real Estate Commission guidance on permissible unlicensed or licensed assistant activities. Our services are limited to administrative, clerical, and coordination tasks that do not require a real estate license. We do not negotiate on your behalf, advise clients on contract terms, or perform any activity that constitutes the practice of real estate requiring licensure under Pennsylvania or New Jersey law.
3. What We Need From You
To provide the best possible service, we ask that you:

Provide accurate and complete information when submitting files and service requests.

Give us timely access to your document preparation platform, broker compliance system, and any other tools needed to perform your services.

Review documents we prepare and respond promptly when your signature or approval is required.

Notify us immediately of any changes to a transaction, including cancellations, price changes, or deadline updates.

Keep your contact information current.
Real estate transactions involve third parties, lenders, title companies, municipalities, co-operating agents, whose actions are outside our control. We are not responsible for delays or outcomes caused by third parties.
4. Platform Credentials - Authorization and Liability
Many of the services PORTR Co provides require access to third-party platforms on your behalf, including document preparation programs (DocuSign, Dotloop, Zipforms, Total Brokerage/DTR, Skyslope, and others), broker compliance systems, and MLS platforms.
By providing PORTR Co with your login credentials for any platform, you:

Expressly authorize PORTR Co and its team members to access those platforms using your credentials solely for the purpose of performing the services you have requested.

Confirm that you have the authority to grant this access and that doing so does not violate any applicable law or regulation.

Acknowledge and accept that many third-party platforms prohibit the sharing of login credentials in their Terms of Service, End User License Agreements, or platform rules. PORTR Co strongly recommends reviewing your platform agreements before providing credentials.

Accept full responsibility for any consequences arising from credential sharing, including but not limited to account suspension, termination, or penalties imposed by the platform.
PORTR CO IS NOT RESPONSIBLE FOR ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM INCLUDING ACCOUNT SUSPENSION, TERMINATION, DATA LOSS, OR FINANCIAL PENALTIES ARISING FROM THE USE OF YOUR CREDENTIALS TO PERFORM SERVICES AT YOUR DIRECTION. BY PROVIDING YOUR CREDENTIALS, YOU ASSUME ALL RISK ASSOCIATED WITH YOUR PLATFORM AGREEMENTS AND INDEMNIFY PORTR CO AGAINST ANY CLAIM ARISING THEREFROM.
Where platforms offer a formal "team member" or "assistant" access feature (such as Dotloop's "Add to My Team" feature), PORTR Co strongly encourages agents to use those features instead of sharing credentials. PORTR Co does not collect credentials for platforms that offer these alternatives, including Dotloop.
5. Acceptable Use
You agree not to:

misuse, disrupt, or attempt to gain unauthorized access to our systems or platform;

interfere with our website or services;

copy, resell, or commercially exploit our services or materials without our written consent.

6. Fees and Pricing
Our current fee schedule is published at www.portrworks.com/services-fees and may be updated from time to time. Material fee changes will be communicated to active agents at least 30 days before taking effect. By continuing to use our Services after a fee change takes effect, you agree to the updated pricing.
7. How We Get Paid
Contract to Close
CTC fees are only collected when your transaction closes. If the deal does not close, you owe nothing for CTC services. Payment is collected in one of the following ways:

Settlement sheet (default) - Our fee is included as a line item on the ALTA/HUD and collected at closing by the title company on our behalf.

Brokerage commission disbursement - You include our fee in your commission request. Your brokerage pays us directly by ACH or check after closing.

Agent credit card - Once your transaction closes, we send you an invoice and charge the card on file.
Conveyancing
Conveyancing fees and all associated reimbursements (municipal certs, payoffs, searches, etc.) are always due regardless of whether the transaction closes. When a transaction closes, fees are collected via the settlement sheet and itemized on the ALTA/HUD. If a transaction terminates prior to closing, all conveyancing fees and reimbursements remain due and payable on or before the last known settlement date.
Concierge Services or Administrative Services
Concierge services are billed at the time the order is placed. Payment is due before work begins. Orders will not be started until payment is received.
8. Failed Payments and Non-Payment
If a payment fails or is declined, we may suspend or delay Services until payment is resolved. We reserve the right to refuse or terminate services for non-payment or outstanding unpaid invoices.
9. Refunds and Disputes
Fees for completed or partially completed services are non-refundable unless otherwise agreed in writing. If you believe an error has occurred, contact us at hello@portrworks.com and we will review it promptly.
If you initiate a chargeback or payment dispute, we may suspend access to our Services during the review. We encourage you to contact us first so we can resolve the matter directly.
10. Confidentiality - We Protect Your Business
We take confidentiality seriously. In this industry, we understand that your client relationships, transaction details, business methods, and competitive information are among your most valuable assets.
PORTR Co agrees to:

Keep all information you share with us — including client data, transaction details, brokerage practices, login credentials, and business strategies — strictly confidential.

Use your confidential information only to perform the services you have engaged us for.

Never share, sell, or disclose your information to any third party except as required to perform your services (e.g., title companies, municipalities) or as required by law.

Ensure all PORTR Co team members who access your information are bound by the same confidentiality standards.
This confidentiality commitment survives termination of the relationship. Even after we stop working together, your information remains protected.
You agree to keep PORTR Co's proprietary processes, pricing, systems, and business methods confidential as well.
11. Data Security
We store your login credentials securely using LastPass, an industry-standard encrypted password management system. Your payment information is handled exclusively by our PCI-compliant payment processor.
In the event of a data breach affecting your personal information, we will notify you promptly as required by Pennsylvania and New Jersey law. For more information on how we handle your data, see our Privacy Policy below.
12. Termination
Either party may end this relationship at any time with written notice to hello@portrworks.com. Termination does not affect fees owed for services already performed or in progress, or CTC fees for transactions that close after termination if work was performed prior. Confidentiality obligations survive termination indefinitely.
We reserve the right to suspend or terminate services for non-payment, failure to cooperate, or conduct that is abusive or harmful to our team.
13. Intellectual Property
All website content, branding, logos, text, graphics, and materials are owned by PORTR Co or our licensors. You may use our website and Services for your own real estate business, but you may not copy, reproduce, resell, or use our materials to compete with or replicate our Services without our written consent.
14. Disclaimers and Limitation of Liability
Our Services are provided "as is" and "as available." We make no warranties regarding availability, accuracy, or specific results.
PORTR Co is not responsible for the outcome of any transaction, the actions of third parties, or decisions made by you, your brokerage, or your clients. To the maximum extent permitted by law, our total liability for any claim is limited to the fees you paid us for the specific service giving rise to the claim.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or data.
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to these Terms or our Services that cannot be resolved informally shall be resolved by binding arbitration before a mutually agreed-upon arbitrator, rather than in court. Arbitration will be conducted on an individual basis only.
CLASS ACTION WAIVER: YOU AND PORTR CO AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION.
Before initiating arbitration, both parties agree to attempt informal resolution by contacting hello@portrworks.com. We will respond within 30 days.
16. Updates to These Terms
We may update these Terms from time to time. For minor changes, we will update the effective date. For material changes — including fees, arbitration, or your legal rights — we will notify you by email at least 30 days before the changes take effect. Continued use of our Services after that date constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes not subject to arbitration shall be resolved in the appropriate courts in Pennsylvania.

4. Data Security and Breach Notification
We take reasonable technical and organizational measures to protect your information. Login credentials are stored in LastPass, an industry-standard encrypted password manager. Payment information is handled exclusively by our PCI-compliant payment processor.
In the event of a data breach affecting your personal information, we will notify you as required by Pennsylvania's Breach of Personal Information Notification Act and New Jersey's data breach notification requirements — without unreasonable delay, via the email address on file for your account.
5. Data Retention
We retain your information for as long as necessary to provide our Services and comply with legal obligations. Transaction records are typically retained for a minimum of seven (7) years in accordance with real estate industry standards.
